Introduction

Wave Solutions Ltd offers software solutions to customers on a subscription basis ("Service"). The primary product subscription, Sales Video Presentation, is accessible on iOS, Android, and Desktop platforms. Supplementary components include the Web Dashboard and Reporting.

These Terms of Use, coupled with the Terms and Conditions, Data Processing Agreement, and the Order Form, constitute the Entire Agreement. Users of the Software are obligated by these Terms of Use upon registration. By becoming a registered user, you acknowledge and commit to compliance with these Terms of Use.

Definitions

Terms defined in the Terms and Conditions and/or the Order Form shall, unless explicitly defined herein, bear the same meaning in these Terms of Use.

Wave Solutions: Refers to Wave Solutions Limited, also denoted as "We," "Us," or "Our."

Consumer: Denotes the customer's customer to whom personal data is uploaded via the Software.

Content: Encompasses video, still images, audio, graphics, text, and other information created and uploaded by You.

Contract: Encompasses the Order Form, Terms and Conditions, these Terms of Use, and the Data Protection Agreement.

Data Protection Legislation: Includes applicable data protection and privacy laws, with GDPR (General Data Protection Regulation) being a part.

Data Processing Agreement: The agreement entered into around the Contract Start Date between Wave Solutions and the Customer.

Company Group: A company operating multiple Retailers.

GDPR: The General Data Protection Regulation ((EU) 2016/679).

Intellectual Property Rights: Covers various intellectual property aspects, including patents, copyrights, trademarks, and more.

Personal Data: Holds the meaning ascribed by the Data Protection Legislation.

Retailer: Identifies the business specified on the Order Form.

Software: Refers to the WaveAp application(s) provided as part of the Service(s).

Sub-processor: Denotes a third-party business or partner through which Your data may pass for Software operation and Service fulfillment.

Subscription: Describes the subscription acquired by the Retailer or Company Group, granting access to the Software and Services under the Contract.

Terms and Conditions: Represents the terms provided to the Customer, forming a part of the Contract.

User: Pertains to employees of the Customer using Our Software, also referred to as "You" or "Your."

Use of Wave Application

License

Throughout an active Subscription, Wave Solutions grants You a royalty-free, non-exclusive license to use the Software per the Contract's terms.

Restrictions

Usage is subject to specific restrictions, including refraining from reverse engineering, examining for competitive product development, and restricting access to unauthorized parties.

Ownership

Wave Solutions retains ownership of Intellectual Property Rights in the Software.

Users may not incorporate or use the Software beyond specified terms without prior written permission.

Ownership of Content

You are responsible for Content created and distributed through the Software.

Wave Solutions holds no liability to recipients or for further distribution, with Users indemnifying against claims.

Feedback

Users may provide feedback, with ownership of any subsequent products or enhancements assigned to Wave Solutions.

Technical Support and Updates

Technical Support

Wave Solutions offers technical support during Your Subscription as per the Order Form.

Updates

The Software undergoes iterative updates, with notifications provided on product enhancements and updates to these Terms of Use.

Users can seek support using methods advertised on the Website, allowing Wave Solutions to use provided contact details for assistance.

Availability

Function

Wave Solutions warrants that all Software elements function according to the Order Form.

Limitation of Function

Warranty exclusions apply to conditions from improper use, external causes, and unpermitted use.

Operation of the Software

Wave Solutions does not guarantee uninterrupted or error-free Software use.

Data Protection

Retention
